Stephen is a general commercial litigator.  He has extensive experience of a wide range of commercial disputes particularly those involving shareholder rights and issues and also disputes arising from corporate transactions including warranty claims, earn outs and completion accounts disputes.  Stephen’s recent experience includes:-

  • Advising the majority shareholder of a well known national retail chain in a substantial dispute which raised issues under English, Luxembourg and Icelandic law;
  • Advising a UK based manufacturer in connection with a substantial and complex Commercial Court claim concerning the registration of and subsequent enforcement of an arbitral award against a Sovereign State and its army;
  • Advising the purchaser of an automotive parts manufacturer in respect of post completion matters including a claim against the seller for breach of warranty;
  • Advising the sellers of a Yorkshire based manufacturing company in relation to a claim against the purchasers for breach of an agreed earn out mechanism;
  • Advising the minority shareholder of a Yorkshire based manufacturing company in connection with claims for unfair prejudice;
  • Advising the claimant director/shareholders in a claim for breach of trust and breach of fiduciary duty in respect of the ownership of an SPV utilised to purchase an historic Yorkshire manufacturing company including obtaining emergency injunctive relief to protect the director/shareholders’ proprietary rights and interests.


Stephen utilises ADR where appropriate and is able to advise clients on arbitration, mediation and expert determination.
